These are the terms for stations, podcasts and other independent media ("stations") and for online businesses selling goods or services ("merchants") that join RADS10. Joining is free, there is no contract term, and you can leave at any time. People who shop through RADS10 are covered by the Terms of Use for shoppers. In these terms, "RADS10", "we" and "us" mean RADS10, the business that operates this site.
1. What RADS10 is
RADS10 is a network that connects stations with small online businesses. It works like newspaper classifieds: merchants write their own entries, and stations send their audiences to their RADS10 page. When a customer buys from a merchant using a network code, the merchant pays a 5% fee, which is shared with the station that sent the customer.
Each sale is a contract between the buyer and the merchant. RADS10 is not a party to it. RADS10 does not sell the goods or services, take the orders or handle customers' payments, and it does not endorse or guarantee any merchant.
2. Joining
- Joining is free for stations and for merchants.
- Which stations can join. Independent, small, privately owned terrestrial stations, online stations, podcasts and webcasts. Big national chains are not eligible.
- Which merchants can join. Small online businesses selling goods, and providers of online services such as design, editing, voiceover, bookkeeping and web work.
- New stations and new merchants are reviewed before going live. We may decline or remove a listing that we don't think is a good fit for the network.
- The details you give us must be accurate and kept up to date, and you must have the right to sign up the station or business.
- Station codes are four letters and are first come, first served. Offensive, misleading and reserved codes are not allowed, and a code that imitates someone else's station may be removed. A station that signs up with broadcast call letters must be the station that holds them, and we may ask for proof before approving it.
- You are responsible for keeping your password private and for what is done through your account.
3. Terms for merchants
- Your discount: Premium and Standard. You choose the discount you offer the network's customers, including none. We suggest 10%. Merchants offering 10% or more are Premium merchants and are always listed first. Merchants offering less than 10% are Standard merchants and are listed after them. Your actual discount is shown on your entry.
- Network codes. You honor every network code, at your checkout or on your invoices: each station's four-letter code followed by 10, for example ABCD10, and the house code RADS10. The 10 is part of our name, not the amount of the discount: every code gives the customer the discount you have set.
- The 5% fee. You pay RADS10 5% of every sale made with a network code. The fee is calculated on the amount the customer paid after the discount, with returns and refunds taken off. There are no signup fees, monthly fees or other charges.
- House sales. Customers who find you on RADS10 without coming from a station are given the house code. House sales carry the same 5% fee, all of which goes to RADS10.
- Your rating. You must give us a public rating that can be checked, such as your Google, Etsy or eBay rating, with a link to where it appears. Service providers may also use Google Business reviews or a Fiverr or Upwork profile. You keep it current, update it when we ask, and agree that we display it publicly on your entry with its source.
- Your entry. You write your own entry: your logo, what you sell or do, your discount and your rating. You give RADS10 permission to display the logo and details you submit, and you are responsible for their accuracy. We check that entries meet our rules; we do not write or edit them.
- Services. Service providers must offer online services only and must sell to RADS10 customers directly, through their own website or through invoices (for example Stripe or Square) with the network code applied. Sales may not be made through Fiverr, Upwork or similar marketplaces.
- Monthly reporting. If your store runs on a platform that RADS10 connects to, you must connect it so that your network sales are reported automatically. Reporting sales yourself is only for merchants on platforms we don't connect to yet: after each month ends you report that month's sales by network code, completely and accurately. A month's report can be corrected until it is charged.
- Payment. Each month's fee becomes payable 30 days after the month ends, so that returns can be taken off first.
- Unpaid fees. If a payment fails or a fee is not paid, your entry is switched off until it is settled.
- Checks. We compare the visitors we send you with the sales reported. If they don't add up we may ask to see your sales records for network codes, and we may remove a merchant that under-reports.
- Your customers and your work. You are the seller. You are responsible for your goods, services and work, for your prices, delivery, returns, refunds and customer service, for any taxes on your sales, and for any licenses or permits your work requires.
- Indemnity. If RADS10 is sued or faces a claim over your goods, services, entry or conduct, you agree to cover RADS10's costs, including reasonable legal fees.
- Product standards. RADS10 does not list merchants selling or offering:
- anything illegal, stolen, counterfeit, or that infringes someone else's rights
- weapons, ammunition, or weapon parts
- adult or sexually explicit products
- alcohol, tobacco, vaping, cannabis, or CBD products
- drugs or drug paraphernalia
- health products that make medical claims
- gambling, get-rich-quick, or multi-level marketing offers
- anything promoting hate or violence
4. Terms for stations
- What you earn. You earn half of the 5% fee on every sale made with your station's code, at every merchant in the network.
- When earnings clear. Your share of a sale clears once the merchant has paid its fee for that month, which is 30 days after the month ends at the earliest. If a merchant does not pay, there is no share to pass on for those sales.
- Payouts and the $25 minimum. Cleared earnings are paid out once your cleared balance reaches $25. A smaller balance is carried forward until it does.
- Tell your audience. You must follow all FCC sponsorship identification rules and FTC disclosure rules that apply to you, and you must tell your audience that you earn a commission. For example: "RADS10 is a sponsor. We earn a share when you shop with our code."
- Honest promotion. Promote the network truthfully and to your real audience. Don't use spam, misleading claims, fake clicks, or purchases made only to earn a commission.
- No coupon sites. Your code and link are for your own audience. You may not post them on coupon sites, deal forums or similar places.
- Your taxes. You are responsible for any taxes on what you earn, and we may need tax details from you before paying.
5. Who owns RADS10
People involved in owning or running RADS10 may also operate stations or merchants in the network. They follow the same terms and get no special placement.
6. Leaving, suspension and removal
- You can leave at any time by asking us to close your account.
- When a merchant leaves, fees on sales already made with network codes are still due. When a station leaves, earnings from sales already made are still paid under the payout rules above.
- We may suspend or remove an account that breaks these terms, harms customers or other members, or puts the network at risk.
7. Disputes, responsibility, and compliance
- We're a referral service. RADS10 connects stations and merchants. We are not a party to any sale, and we don't referee disputes between merchants, stations, and customers. Any disagreement about a product, service, order, delivery, refund, or promotion is between the people involved, and they agree to resolve it themselves.
- Release. By joining RADS10, you release RADS10 and its owners from claims arising from disputes with other members or with customers.
- Your responsibility. Each merchant and station agrees to take responsibility for, and protect RADS10 from, claims arising from its own goods, services, promotions, or conduct.
- Compliance. Stations and merchants are responsible for complying with all laws and regulations that apply to them, including FCC rules where applicable.
- Fees and earnings. RADS10's records of network codes and reported sales are used to calculate the fees merchants owe and the earnings stations receive.
8. What we don't promise
RADS10 is new and the network is small. We don't promise any amount of traffic, sales or earnings, and we don't promise the site will always be available or free of errors. Merchants are responsible for what they sell and stations for what they broadcast. To the extent the law allows, RADS10 is not liable for indirect losses or lost profits arising from the network. To the extent the law allows, RADS10's total liability to any member for any claim is limited to the fees paid to, or earnings paid by, RADS10 for that member's account in the three months before the claim.
9. Changes to these terms
We may update these terms as the network grows. We'll post the new version here with its date, and if a change affects fees or payouts we'll tell members before it takes effect. Staying in the network after a change means you accept it.
